1. Overview
These Terms & Conditions (“Terms”) govern your purchase and use of the MDBA Signature Edition Bot, which includes access to a customized AI bot and membership resources (the “Services”). By purchasing, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not purchase or use the Services.

2. Eligibility
You must be at least 18 years old and able to enter into a legally binding contract to purchase and use the Services. By purchasing, you represent and warrant that you meet these requirements.

3. Scope of Services
The Business Accelerator Suite may include, as applicable:
  • Access to a customized AI bot (the “Bot”)
  • Access to a membership area, which may include:
    • Trainings, videos, downloads, and other content
    • Community or group access (if applicable)
    • Live or recorded sessions (if applicable)
  • Any other features or benefits described on the checkout page at the time of purchase
We reserve the right to update, modify, or discontinue any part of the Services at any time, provided that such changes do not materially reduce the core value of what was purchased.

4. Intellectual Property & License to Use the Bot

4.1 Ownership
All content and materials provided through the Services, including but not limited to the Bot, underlying code, prompts, workflows, training materials, videos, written content, templates, systems, and frameworks (collectively, the “Content”) are and remain the exclusive intellectual property of Mindy DiPietro/ Million Dollar Brand Accelerator or its licensors.

No ownership rights are transferred to you under these Terms. You are granted a limited license to use the Content as set out below.

4.2 License to Use the Bot
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Bot for your own internal business purposes only.

You may not:
  • Copy, reproduce, or attempt to recreate the Bot or its underlying structure, workflows, or prompts
  • Reverse engineer, decompile, or otherwise attempt to derive the source code, training data, or system logic of the Bot
  • Sell, license, sublicense, rent, lease, or otherwise commercially exploit the Bot or access to it to any third party
  • Represent the Bot or any significant portion of its configuration as your own intellectual property, framework, or proprietary system
Any rights not expressly granted in these Terms are reserved by us.

4.3 Use of Your Data with the Bot
To the extent you input content, prompts, or data into the Bot, you retain ownership of that content. You grant us a limited license to use that content as necessary to provide, maintain, and improve the Services, in line with our Privacy Policy.

5. License for Membership Content
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the membership content for your own business or personal use.
You may not:
  • Share your login credentials with anyone
  • Distribute, sell, or give away the content or materials to others
  • Upload, post, or share our paid content in any public or private group, platform, or file-sharing system
  • Represent any of our content, frameworks, or materials as your own original work
6. Payment, Billing & No Refunds
All fees are due as stated on the checkout page at the time of purchase.
  • You agree that all sales are final and there are no refunds for any reason, including but not limited to:
    • Change of mind
    • Non-use or inability to use the Services
    • Perceived lack of results
  • If you are on a payment plan or subscription, you authorize us (and our payment processor) to charge your payment method on a recurring basis according to the terms shown at checkout until all payments are completed or your subscription is canceled (if cancellation is permitted).
If any payment is declined, we may attempt to reprocess the payment and/or suspend your access until payment issues are resolved.

7. Term, Access & Termination

7.1 Term of Access
Your access to the Services will be as described on the checkout page (for example, a fixed term, ongoing subscription, or “lifetime” access as defined by us).

We reserve the right to update or migrate platforms, tools, or delivery methods for the Services, provided you retain substantially similar access.

7.2 Termination by Us
We may suspend or terminate your access to the Services, with or without notice, if:
  • You violate these Terms or any community guidelines
  • You engage in abusive, harassing, or harmful behavior towards us, our team, or other members
  • You misuse the Bot or membership content (including unauthorized sharing, copying, or attempts to replicate our IP)
  • Your payment is delinquent or repeatedly fails
In the event of termination due to your violation of these Terms, no refunds will be issued, and we may block future purchases from you.

7.3 Termination by You
If your purchase includes a subscription, you may cancel future billing (if allowed) according to the instructions in your account or by contacting support. Cancellation stops future charges but does not entitle you to a refund of past payments.

8. Acceptable Use & Prohibited Conduct
You agree that you will not use the Services:
  • For any unlawful, harmful, or fraudulent purpose
  • To harass, abuse, defame, or harm any person
  • To upload or share content that is illegal, infringing, or violates the rights of others
  • To attempt to bypass security mechanisms or gain unauthorized access to any system
  • To scrape, copy, or systematically download our content, prompts, or frameworks
We reserve the right to remove content or terminate access if we believe, in our sole discretion, that you have violated these rules.

9. Results Disclaimer
We do not guarantee any specific results, income, or business outcomes from using the Services. Your results depend on many factors, including your skills, implementation, market, and effort.

Any examples, case studies, or testimonials are illustrative only and do not represent promises or guarantees.

10. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:
  • The Services will be uninterrupted, timely, secure, or error-free
  • The Bot will always produce accurate, complete, or appropriate outputs
  • Any defects will be corrected
You are responsible for reviewing and verifying any content generated by the Bot before using it in your business.

11. Limitation of Liability
To the fullest extent permitted by law:
  • We will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.
  • Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid for the Services giving rise to the claim.
Some jurisdictions do not allow limitations of liability, so some of the above may not apply to you.

12. Indemnification
You agree to indemnify, defend, and hold harmless Mindy DiPietro/Million Dollar Brand Accelerator , and affiliates from and against and claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
13. Changes to Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law & Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of State of Florida, United States, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms or the Services will be resolved in the courts of State of Florida, United States, and you agree to the exclusive jurisdiction of those courts.
